End User License Agreement

Effective Date: 19 October 2026

By installing, copying, or otherwise using the Personal Daily Manager ("PDM") mobile application (the "App"), you agree to be bound by this End User License Agreement ("EULA"). If you do not agree to these terms, do not install or use the App.

1. License Grant

1.1 Limited License. Wisam Pty Ltd (ABN: 82 669 444 544) ("Licensor"), trading as Prince Software Engineering Institute (PSEI Australia), grants you a limited, non-exclusive, non-transferable, revocable license to install and use the App on mobile devices (Android or iOS) owned or controlled by you, solely for your personal, non-commercial use.

1.2 No Sale. The App is licensed, not sold, to you. All rights, title, and interest in and to the App remain exclusively with Licensor.

2. Restrictions

You may NOT:

  • Reverse Engineer. Decompile, disassemble, reverse engineer, or attempt to derive the source code or underlying ideas, algorithms, data structures, or architecture of the App or any associated services.
  • Modify or Derive. Modify, adapt, translate, create derivative works from, or develop, emulate, produce, or distribute a commercial version based on the App in any form or medium.
  • Redistribute. Rent, lease, lend, sell, sublicense, assign, or otherwise transfer the App or any portion of it to any third party.
  • Remove Protections. Remove, alter, or obscure any proprietary notices, labels, or disclaimers on or in the App.
  • Compete. Use the App or any part of it to develop a competing product or service, or to facilitate unauthorized distribution or use of the App.
  • Automate. Use any automated means to interact with the App beyond normal end-user operation.

3. Intellectual Property

The App, including but not limited to its code, design, graphics, icons, images, audio clips, and user interface elements, is protected by Australian and international copyright, trademark, patent, and other intellectual property laws. "PDM" and "Personal Daily Manager" are trademarks of Wisam Pty Ltd.

4. Open Source Notices

The App includes third-party components under various open-source licenses (MIT, BSD, Apache 2.0, and others). These components remain subject to their respective licenses, which grant rights beyond those in this EULA. A complete list of all third-party components and their licenses is available within the App under Settings → About → Open Source Notices.

5. Privacy & Data

The App stores all user data (notes, tasks, reminders, audio recordings, photos, calendar events) exclusively on your device. No telemetry, analytics, crash reports, or cloud synchronization is performed. The App does not transmit any personal data to third parties. See our Privacy Policy for details.

6. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE AGAINST BREACHES.

NOTHING IN THIS EULA EXCLUDES OR RESTRICTS LIABILITY TO THE EXTENT PROHIBITED BY APPLICABLE LAW, INCLUDING THE AUSTRALIAN CONSUMER LAW (ACL). WHERE ACL GUARANTEES APPLY, THEY CANNOT BE EXCLUDED.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WISAM PTY LTD (ABN: 82 669 444 544), ITS DIRECTORS, EMPLOYEES, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, LOST PROFITS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE APP.

THE TOTAL AGGREGATE LIABILITY OF LICENSOR FOR ALL CLAIMS ARISING FROM THIS AGREEMENT SHALL NOT EXCEED THE PURCHASE PRICE PAID FOR THE APP (AUD $1.00).

THIS LIMITATION DOES NOT APPLY TO LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW, INCLUDING THE AUSTRALIAN CONSUMER LAW.

8. Refund Policy

All sales are final. Due to the digital nature of the App and the immediate delivery upon purchase, no refunds will be provided except where required by applicable consumer protection law in your jurisdiction (including Australian Consumer Law guarantees).

9. Upgrade Path

Licensor reserves the right to offer upgraded versions of the App ("Premium Version") with additional features at a higher price point. The Premium Version may be offered as a separate application or as an in-app upgrade. Users who purchase the base version are not automatically entitled to access Premium features. Any future Premium pricing, feature sets, and upgrade terms will be communicated through the App or the Licensor's website.

10. Termination

This license is effective until terminated. It will terminate automatically without notice if you fail to comply with any term herein. Upon termination, you must destroy all copies of the App in your possession. Sections 2 (Restrictions), 3 (Intellectual Property), 4 (Open Source Notices), 6–9 survive termination.

11. Governing Law & Dispute Resolution

This EULA shall be governed by and construed in accordance with the laws of Victoria, Australia. Any disputes arising from this agreement shall be resolved exclusively in the courts of Victoria. To the extent permitted by law, you agree that any dispute resolution proceedings will be conducted solely on an individual basis and not in a class action.
